Enterprise Terms
of Service.
Last Updated: May 12, 2026
Notice: This document outlines the operational and legal framework under which Perfect Marketer functions. By retaining our services as a digital architecture and marketing partner, you legally bind your entity to the stipulations detailed below.
1.0 Agreement to Terms
These Enterprise Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client", "you"), and Perfect Marketer ("Company", "we", "us", or "our"), headquartered at 422 Shankar Marg, Street No. 3, Fazalpur, Mandawali, Delhi 110092.
By accessing our website, engaging in our strategy consultations, deploying our custom Python/Flask CRM systems, or authorizing us to manage your advertising capital, you explicitly agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these terms, you are expressly prohibited from using our services.
2.0 Scope of Services & Architecture
Perfect Marketer operates as a hybrid Technology Development and Performance Marketing agency. Our deliverables are strictly defined within your individual Service Level Agreement (SLA) or Project Proposal and generally encompass two main divisions:
2.1 Performance Marketing
Execution of algorithmic media buying across platforms like Meta (Facebook/Instagram), Google Search, and YouTube. This involves the creation of sales funnels, ad creatives, and budget management to acquire high-intent traffic.
2.2 Technical Infrastructure
Development of customized digital ecosystems. This includes Conversion Rate Optimized (CRO) landing pages, proprietary Python/Flask backend CRM development, API integrations, and webhook deployments to secure data routing.
2.3 Out of Scope & Scope Creep
Any technical features, additional ad platforms, or CRM modifications requested by the Client that are not explicitly detailed in the original signed SLA will be considered "Out of Scope". These requests will be subject to a separate estimation and billed at our standard enterprise hourly development rate.
2.4 Disclaimer of Financial Guarantees
We architect systems designed to maximize conversion probability. However, we strictly do not guarantee specific sales volumes, minimum ROAS (Return on Ad Spend), or definitive revenue numbers. Financial outcomes depend on external market conditions, your product's market-fit, pricing models, and the closing proficiency of your internal sales team.
3.0 Client Responsibilities
The success of our ecosystem relies heavily on timely collaboration. The Client agrees to:
- Timely Asset Delivery: Provide necessary brand guidelines, logos, access credentials, and raw media files within the timeframe specified during onboarding.
- Prompt Approvals: Review and approve ad creatives, landing pages, and software wireframes promptly. Delays in approvals will correspondingly extend project delivery timelines.
- Ad Account Funding: Ensure that all connected advertising platforms (Meta, Google) possess valid, sufficiently funded payment methods. Perfect Marketer is not responsible for campaigns pausing due to declined credit cards.
- Sales Team Utilization: Ensure that internal sales teams actually utilize the CRMs built and actively follow up on the routed leads within the agreed SLA (ideally < 5 minutes).
4.0 Financial Terms & Payment
4.1 Agency Retainers vs. Ad Spend
Our monthly agency management fees and custom software development costs do not include your advertising budget. Ad spend is billed directly to your corporate credit card by the respective platforms (e.g., Meta, Google).
4.2 Payment Terms & Taxes
All invoices are due upon receipt unless otherwise stated in the SLA. As an entity operating in Delhi NCR, all domestic invoices are subject to applicable Goods and Services Tax (GST) as per Indian law. International clients may be subject to different tax protocols based on jurisdiction.
4.3 Non-Refundable Custom Builds
Due to the intensive intellectual labor, bespoke coding, and custom logic required to construct digital ecosystems and proprietary CRMs, all setup, onboarding, and development fees are strictly non-refundable once the architecture process has commenced.
4.4 Delinquent Accounts
In the event of a late payment exceeding 5 business days past the invoice due date, Perfect Marketer reserves the right to immediately pause all active ad campaigns, suspend CRM access, and halt all development work until the account is brought current. A late fee of 1.5% per month may be applied to outstanding balances.
5.0 Intellectual Property
Perfect Marketer invests heavily in developing proprietary algorithms and backend logic. We maintain clear boundaries regarding Intellectual Property (IP) ownership:
What You Own (Client IP)
You retain absolute ownership of your pre-existing brand assets, logos, ad creatives produced by us specifically for your campaigns, finalized landing page copy, and 100% of the customer data (leads/patients) generated through the ecosystem.
What We Retain (Agency IP)
Perfect Marketer retains full, exclusive ownership of all proprietary backend code, Python/Flask routing scripts, API middleware, machine-learning models, and core CRM frameworks developed by us. Clients are granted a license to use these systems during the term of the agreement.
* A complete "Source Code Buyout" clause can be negotiated separately if the Client wishes to own the backend architecture permanently.
6.0 Confidentiality & Non-Disclosure
Both parties agree to treat all business strategies, financial metrics, customer lists, and proprietary software code as strictly confidential. Neither party shall disclose such information to any third party without explicit written consent, except as required by law.
Perfect Marketer strictly adheres to a "Zero Cross-Contamination" policy. We will never use your lead data, campaign analytics, or proprietary workflows to benefit another client, even if they operate within the same industry sector.
7.0 Platform Liability & Third-Party Outages
We build our ecosystems on top of global third-party platforms (e.g., Meta, Google, AWS, Zoho, WhatsApp API). Perfect Marketer shall not be held liable for:
- Platform Bans: Ad account suspensions, page restrictions, or business manager bans imposed by Meta, Google, or LinkedIn due to sudden algorithmic changes, industry compliance updates, or the inherent nature of the Client's business niche.
- Downtime: Temporary loss of data, lead flow interruption, or CRM downtime caused directly by server outages at AWS, Google Cloud, or third-party API deprecations.
8.0 Non-Solicitation of Personnel
During the term of this agreement and for a period of twelve (12) months following its termination, the Client agrees not to directly or indirectly solicit, recruit, or hire any employee, developer, or contractor currently or previously employed by Perfect Marketer.
In the event of a breach of this clause, the Client agrees to pay Perfect Marketer a recruitment compensation fee equivalent to 100% of the solicited employee’s annual agency compensation.
9.0 Termination & Offboarding
Either party may terminate the marketing or software retainer agreement by providing a standard thirty (30) days written notice.
The Offboarding Protocol: Upon termination and clearance of all pending invoices, we will initiate a seamless handover of all Client-owned assets (Ad Account accesses, Domain names, Frontend creative assets). However, access to Perfect Marketer's proprietary backend software, hosted CRMs, and automated routing scripts will be permanently revoked and the data within securely wiped in compliance with our Privacy Policy.
10.0 Governing Law & Dispute Resolution
These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of India. Any disputes, controversies, or claims arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Delhi NCR, India.
